Sharon Smith has extensive commercial real estate experience, including the acquisition and disposition of shopping centers, development of raw land, and representing national and local tenants, landlords, retailers and developers. Ms. Smith has negotiated numerous leases for both the landlord and tenant side for tenants of all size, and for landlords throughout the United States. She also has extensive experience representing national and local retailers and developers and development projects, including the negotiation of purchase and sale agreements or leases, reciprocal easement agreements, and development agreements and the resolution of title and survey issues. Ms. Smith also has experience in the leasing of office space, and the development and leasing of land for industrial purposes.
- Led process for buyer on $20M purchase of apartment complex, ranging from negotiating sale, performing title and survey review, identifying need for special type of flood certificates and insurance because of flood zone issues, while strategically managing a three-day defeasance closing transaction, pulling together information from other law firms, securities firm and Freddie Mac’s attorney to arrive at closing for this complex transaction
- Represented franchisee in acquisition by purchase or ground lease of 11 locations (each approximately $1.1M), including all negotiations with franchisor, and subsequent negotiations with each seller and/or lessor, to ensure landlord consents, conformity with lender and franchisor requirements and extensive title and survey review for each site, while skillfully resolving property access issues with adjacent landowners to provide optimal locations for client restaurants
- Represented developer client in five-parcel assemblage acquisition, overcoming substantial zoning issues to assemble 10+ acre tract, negotiated each of 15+ leases in shopping center, utilizing exclusive use clauses, tenant improvement allowances, extension options and rights of first offer and ultimately represented client, as seller in the sale of the center for $16M resulting in $6M profit
- Represented buyer in $40M acquisition of six-parcel office park from two sellers, ranging from negotiation of all sale and closing documents, extensive title and survey review of six parcels, while working with EPA to resolve environmental issues and ensuring closing of transaction with no client liability for identified environmental concerns
